Terms and Conditions

Last updated: 6 October 2026

The following terms and conditions (Terms) apply to all purchases of goods and/or services by you (the Purchaser) from Winequip Pty Ltd (ABN 78 958 709 226) trading as Foodquip (Foodquip), whether through foodquip.com.au, by accepting a quotation, or otherwise. Placing an order with Foodquip constitutes acceptance of these Terms. Changes to or departures from these Terms must be agreed in writing by Foodquip. No terms contained in any document of the Purchaser will apply to, override or amend these Terms.

1. Orders

  1. Orders may be placed through our website, or by accepting a quotation. When placing an order, the Purchaser will follow any ordering procedures notified by Foodquip from time to time.
  2. Foodquip may accept or reject any order in whole or in part for any reason, including the unavailability of any products. If we reject an order that has been paid, we will refund the payment.

2. Quotations

  1. Quotations are not valid unless provided to the Purchaser in writing.
  2. Written quotations are open for acceptance within the period stated in the quotation or, where no period is stated, within 30 days from the date of the quotation. Acceptance must be in writing within that period, otherwise the quotation lapses.
  3. Until a quotation is accepted, Foodquip may withdraw it or vary any part of it, including any price.
  4. The Contract becomes binding when Foodquip receives the Purchaser’s unconditional written acceptance of a quotation (which then serves as the invoice) or, where there is no quotation, when Foodquip accepts the Purchaser’s order.
  5. The Purchaser cannot cancel an order after accepting a quotation without Foodquip’s written agreement.

3. Data errors and omissions

Foodquip makes every effort to ensure the information on our website and in our documents is accurate. It may nonetheless contain technical inaccuracies or typographical errors, including in prices and specifications, and Foodquip makes no representation or warranty as to its accuracy. Where a price is shown in error, Foodquip may cancel the order and refund any payment.

4. Pricing and payment

  1. Prices on our website are in Australian dollars and include GST. Prices may change without notice; the price that applies is the price at the time Foodquip accepts the order. Freight is extra and is calculated at checkout or quoted separately.
  2. Website orders are paid at checkout through PayPal (PayPal account or credit/debit card). Quoted orders may be paid by electronic funds transfer or credit card. If requested by Foodquip, payment must be received before an order is processed or dispatched.
  3. Where goods are supplied on a Winequip credit account, payment is due 30 days from the end of the month of the invoice, under the terms of that account.
  4. The Purchaser is not entitled to withhold payment in whole or in part, or to claim any right of set-off against the Purchase Price.
  5. If any amount remains unpaid 30 days after its due date, interest accrues daily on the outstanding amount at 3% per annum above the rate charged by Foodquip’s principal banker for unsecured overdrafts over $100,000, and is payable on written demand.

5. Ownership and risk

  1. Where goods are carried by Foodquip’s carrier, risk passes to the Purchaser when the goods are delivered to the Purchaser’s nominated delivery address. Where goods are carried by the Purchaser’s nominated carrier, or collected by the Purchaser, risk passes on handover to that carrier or to the Purchaser.
  2. Ownership of the goods remains with Foodquip until all amounts owing for them have been paid in full. Until then, Foodquip may register its interest on the PPSR, and if payment is not made the Purchaser must return the goods on request.

6. Delivery and pickup

  1. Foodquip makes no warranty as to time of delivery or the availability of any goods. Any delivery timeframe is our best estimate. In-stock items are usually dispatched within 2–3 business days, and goods ordered from the manufacturer take longer. Foodquip will use reasonable endeavours to meet estimated timeframes but is not responsible for delays.
  2. Foodquip may, by written notice, extend the delivery period, change the delivery schedule, deliver in part, or cancel an order (refunding any payment for goods not supplied), without liability for any loss or damage.
  3. Goods are delivered to the address given in the order. Freight to most metropolitan areas is calculated at checkout; for regional and remote addresses, contact us for a freight quote. Orders may also be collected from our Thomastown warehouse by arrangement.
  4. Delivery is conducted at the Purchaser’s risk. Foodquip is not responsible for destruction, damage or loss of goods in transit, and it is the Purchaser’s responsibility to arrange transit insurance if required.

7. Return of goods

  1. The Purchaser must notify Foodquip within 7 days of receiving the goods (the Return Period) of any fault, defect, damage or shortage. The Purchaser is deemed to have accepted the goods unless Foodquip is notified of their rejection within the Return Period.
  2. Foodquip will not provide a refund for returned goods unless required by law.
  3. All returns must be approved in writing by Foodquip before they are sent, and must:
    • except for faulty or defective goods, be a standard item that Foodquip stocks regularly;
    • except for faulty or defective goods, be unused, in original condition and in original packaging;
    • be accompanied by proof of purchase, Foodquip’s return approval reference and the reason for the return.
  4. Goods returned without prior approval may be refused and sent back at the Purchaser’s expense.
  5. Freight to and from Foodquip on all returns is borne by the Purchaser. Handling charges or freight not prepaid will be deducted from any credit or refund. If Foodquip accepts a return because the goods are faulty or defective, Foodquip will reimburse the Purchaser’s reasonable delivery costs.
  6. An inspection, handling and restocking charge of 10% of the invoice value applies to goods returned within the Return Period, other than goods that Foodquip determines (acting reasonably) to be faulty, defective or incorrectly supplied. Foodquip may increase this charge for returns accepted outside the Return Period.
  7. Foodquip is not obliged to issue a refund or credit if the Purchaser owes money to Foodquip or Winequip.

8. Warranty

Unless stated otherwise, goods carry a 12-month warranty from delivery against defects in materials and workmanship. The warranty does not cover damage from misuse, incorrect installation or power supply, lack of cleaning or maintenance, or normal wear and tear. To claim, contact us with your order details. We may ask for the item to be sent to our Melbourne workshop, and we will reimburse reasonable freight if it is found to be faulty.

Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.

9. Liability

  1. To the maximum extent permitted by law, Foodquip excludes any guarantee, condition or warranty (including any implied guarantee, condition or warranty of merchantability, satisfactory quality or fitness for a particular purpose) that would otherwise apply to these Terms, and all liability in respect of goods and services supplied.
  2. Where a law implies a guarantee, condition or warranty that cannot be excluded, or Foodquip cannot otherwise exclude liability, Foodquip’s liability is limited, to the maximum extent permitted by law and at Foodquip’s option, to replacing or repairing the goods, supplying equivalent goods, or paying the cost of doing so; and, for services, supplying the services again or paying the cost of having them supplied again.
  3. To the maximum extent permitted by law, Foodquip is not liable for, and the Purchaser releases and indemnifies Foodquip from, any Claims arising from the Purchaser’s use or application of the goods, including use other than in accordance with Foodquip’s or the manufacturer’s instructions or recommendations (except to the extent caused or contributed to by Foodquip’s negligence).

10. Purchaser’s acknowledgement

  1. The Purchaser is solely responsible for satisfying itself that the goods are suitable for its intended use, including power supply (for example three-phase), site and installation requirements, and has not relied on any statement or advice by Foodquip about operating or performance parameters, the outcomes the goods may achieve, or their suitability for any particular application, installation or environment.
  2. The Purchaser acknowledges that stated operating parameters (such as output) are indicative only, that actual performance may be affected by factors beyond Foodquip’s control (including ingredients, recipes and operating conditions), and that incorrect or negligent use of the goods may cause injury or damage to property.
  3. Electrical connection must be carried out by a licensed electrician. Most machines do not require professional installation; where they do, Foodquip can arrange installation or commissioning on request, at an additional cost.

11. Intellectual property

All intellectual property in the goods, our website and associated documentation belongs to Foodquip, Winequip or their suppliers. The Purchaser must not copy, publish or distribute any documentation supplied with the goods (including operating instructions and manuals), or use the goods to manufacture copies of them.

12. Indemnity

The Purchaser is responsible for, and indemnifies and holds harmless Foodquip from and against, all Claims caused by the Purchaser’s acts, omissions, negligence, breach of duty or breach of the Contract.

13. Variation of terms

Foodquip may change these Terms at any time. The version published on this page when an order is accepted applies to that order.

14. Miscellaneous

  1. If any term of the Contract is void, voidable or unenforceable, it will be read down, limited or, if necessary, excluded to the extent needed to make it enforceable, and all other terms remain in full force.
  2. A waiver or relaxation of any term by Foodquip is only valid if in writing, applies to that occasion only, and does not waive any other term.
  3. The Contract is the entire agreement between Foodquip and the Purchaser and may only be varied in writing by Foodquip.
  4. The Contract is governed by the law of Victoria, and the Purchaser submits to the non-exclusive jurisdiction of the courts of Victoria.

15. Definitions

Claims means any cost or expense (including legal costs), demand, legal proceedings, claim, action, fine, penalty, damages, loss or liability of any nature, including indirect and consequential loss. Contract means the quotation (if any), the order, and these Terms, read together. Purchase Price means the amount on the order or invoice, including freight and GST.
